Terms of Service

These Terms of Service (“Terms”) govern your use of the websites, software, applications, APIs, and services offered by Eusorone Technologies, Inc. (“Eusorone,” “we,” “us”), including the EusoTrip marketplace and the RIOS Regulated Industry Operating System (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.

1. Eligibility & accounts

You must be authorized to enter into binding contracts on behalf of your organization and at least 18 years old. You are responsible for maintaining account credentials and for all activity under your account.

2. The Services

EusoTrip is a freight marketplace. Eusorone facilitates interactions between shippers, carriers, brokers, and other counterparties but is not a motor carrier, broker, or freight forwarder unless and until expressly authorized under applicable law and identified as such. RIOS is a software system that automates and documents freight workflows.

3. Acceptable use

  • Do not misuse the Services, bypass security, or interfere with other users.
  • Do not submit false, misleading, or unlawful content (including rates or compliance data you know to be inaccurate).
  • Do not reverse engineer, scrape, or resell the Services except as expressly permitted.
  • Comply with all applicable laws, including transportation, trade, sanctions, and data-protection laws.

4. Data & ownership

4.1 Your content

You retain all rights in the content you submit (“Customer Data”). You grant Eusorone a worldwide, non-exclusive, royalty-free license to host, process, and display Customer Data solely to provide the Services.

4.2 Aggregated data

We may use aggregated and de-identified data derived from the Services to operate, improve, and benchmark the Services. Aggregated data never identifies you or your counterparties.

4.3 Our IP

The Services, including software, design, and documentation, are our intellectual property. We grant you a limited, revocable, non-transferable license to use the Services as permitted.

5. Freight transactions

Contracts for transportation of goods are formed between the shipper and the carrier (or licensed broker) identified on the applicable tender. Rates, fees, and surcharges are shown in the Services and in the signed confirmation. Eusorone is not a party to those contracts unless expressly stated. Accessorials, claims, and disputes are handled per the applicable carrier/broker agreement.

6. Fees & payment

Fees for paid features are described in your order form or in-app. Fees are billed in advance and are non-refundable except as required by law. Payments between shippers and carriers are settled through the Services and/or our payment processors.

7. Third-party sources

The Services surface data from third-party sources (DAT Trendlines, FreightWaves, FRED, BTS, EIA, CASS, USDA, AAA, GasBuddy, FMCSA, VUCEM, and others). Such data is provided “as is” and subject to third-party terms. We cite sources in the UI; accuracy is triangulated but not guaranteed.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, EUSORONE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EUSORONE'S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100). NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You will defend, indemnify, and hold harmless Eusorone against claims arising from (i) your content, (ii) your violation of these Terms or law, or (iii) your freight obligations to counterparties.

11. Termination

Either party may terminate these Terms for material breach not cured within 30 days of notice. We may suspend the Services immediately to prevent abuse, security incidents, or legal risk. Sections that by their nature should survive (IP, disclaimers, liability, indemnity, governing law) will survive termination.

12. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Disputes shall be resolved in the state or federal courts located in Delaware, except either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to these Terms

We may update these Terms. We will post changes and update the “Last updated” date. Material changes will be communicated via the Services or email.
